Terms of Service

Please read these terms carefully before using Flaplist. By creating an account or using the service, you agree to be bound by these terms.

1. Parties to the agreement

Flaplist is a checklist service developed and operated by Redefine v/Morten Bang Justesen, CVR 30270444, Denmark ("Flaplist", "we", "us"). By creating an account or using the service, you accept these terms of service. The terms constitute a binding agreement between you and Flaplist.

If you use Flaplist on behalf of a company, you confirm that you have the authority to bind that company to these terms.

2. Scope of service

Flaplist provides a platform that allows you to create, share, and manage checklists and related content. Business and Enterprise subscribers have access to additional features, including forms for data collection and advanced sharing and administration tools. Enterprise customers may also, by contacting Flaplist, have their own domain set up with their own logo and selected design customisations (white-label).

We provide the service "as is" and strive for high availability, but make no guarantee that the service will be error-free, uninterrupted, or fully available at all times. We reserve the right to add, modify, or remove features without notice.

We will make reasonable efforts to notify users of planned downtime or significant changes where possible.

Flaplist accepts no responsibility for content, communication, or branding presented under an Enterprise customer's own domain and logo.

3. User account and responsibilities

You are responsible for keeping your login credentials confidential and for all activity that occurs through your account. You must:

  • Provide accurate and complete information when registering and keep it up to date.
  • Keep your credentials confidential and not share your account with others.
  • Immediately notify us at support@flaplist.com if you suspect unauthorised access to your account.
  • Ensure that your use of the service complies with all applicable laws and these terms.

4. Payment and subscription

Flaplist offers four tiers: Free, PRO, Business, and Enterprise. Current prices and plan features are listed on our website and are subject to change with appropriate notice. Business and Enterprise subscriptions are arranged by direct contact and are subject to the specific terms agreed in writing.

PRO and Business subscriptions are billed in advance for the selected period (monthly or annually). Payment is processed through our payment provider and is subject to their terms.

Subscriptions renew automatically unless cancelled at least 24 hours before the next billing period begins. PRO and Business subscriptions can be cancelled at any time from account settings; Enterprise subscriptions are subject to the cancellation terms in the individual agreement.

We do not offer refunds for unused subscription periods, except where required by applicable consumer protection law.

5. Acceptable use

You may not use Flaplist in any way that:

  • Violates any applicable laws or regulations, or infringes the rights of any third party.
  • Attempts to gain unauthorised access to, disrupt, or compromise the technical infrastructure of the service.
  • Distributes spam, malware, misleading content, or material that is harmful or offensive.
  • Involves collecting or harvesting personal data about other users without their consent.
  • Involves uploading or storing sensitive data or specially confidential personal data, such as national identification numbers, health data, criminal offence data, payment card data, or similar information.

We reserve the right to suspend or permanently close accounts that violate these terms, without prior notice when necessary to protect the service or other users.

6. Content and intellectual property

You retain all rights to the content you create in Flaplist. By using the service, you grant Flaplist a limited, non-exclusive, royalty-free licence to store, process, and display your content solely for the purpose of providing the service to you.

You are solely responsible for the content you create, share, or make publicly accessible through Flaplist. You must not upload or share content that infringes the intellectual property or other rights of any third party.

Flaplist, its logo, software, design, and all associated intellectual property are protected by copyright and belong to Redefine v/Morten Bang Justesen. Nothing in these terms grants you any right to use our trademarks or branding.

7. No warranty and limitation of liability

The service is provided without any warranty, whether express or implied, including warranties of fitness for a particular purpose, merchantability, or freedom from errors. We do not guarantee that the service will meet your specific requirements.

We are not liable for any loss of data, content, or information — whether arising from use of the service, technical failures, external attacks, accidental deletion, or any other cause. You are solely responsible for maintaining your own backups. We recommend using the built-in data export feature regularly.

We are not liable for indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of revenue, loss of profits, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you under these terms is in any case limited to the amount you have paid to Flaplist in the 12 months immediately preceding the event giving rise to the claim. If you have not paid anything, our liability is limited to EUR 50.

8. Third parties

The service may contain links to third-party websites or integrations. We have no control over the content or availability of those services and accept no responsibility for them.

Third-party services you choose to connect with Flaplist (such as Google or GitHub for authentication) are governed by their own terms and privacy policies. We are not responsible for how those services handle your data.

9. Termination

You may delete your account at any time from your account settings. Upon deletion, your access to the service will cease and your personal data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account with immediate effect if you materially breach these terms, if required to do so by law, or if continued access poses a risk to the service or other users. We will aim to notify you where legally and practically possible.

Termination of a paid subscription does not automatically entitle you to a refund for the remaining subscription period, except where required by applicable law.

10. Changes, governing law, and disputes

We reserve the right to modify these terms at any time. For material changes, we will provide at least 30 days' notice via the app or by email to the address associated with your account. Your continued use of the service after the effective date of changes constitutes acceptance of the updated terms.

These terms are governed by the laws of Denmark, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Danish courts, with the Copenhagen City Court as the court of first instance.

11. List sharing and public access

You can share lists with specific people through invitations and assign them roles as co-owners or members. You can also activate public links that give anyone with the link access to view the list or check off items — without an account.

You are responsible for the content you make publicly accessible via public links. Flaplist does not control who accesses a list via a public link, and we are not responsible for how third parties use or share that link.

Public links remain active until you deactivate them. It is your responsibility to regularly review and manage your active public links.

The activity log for a shared list may contain names and actions from external users who have accessed the list via a public link. You are responsible for ensuring that such data is handled in accordance with applicable privacy and data protection legislation.

12. Logging and activity history

Flaplist logs actions on lists, including who checked off, added, or removed items, and when those actions took place. This information is visible to list owners and co-owners and forms the list's activity history.

For lists with public checkbox access, the name entered by the external user when checking off is logged. Since this name is self-reported by the user, Flaplist is not responsible for its accuracy.

Activity logs are tied to the list and are deleted when the list is deleted. PRO users also have access to playback of the activity history.

You are responsible for handling the personal data that appears in activity logs in accordance with applicable law — including GDPR if you use the service for business purposes and process data about your employees, collaborators, or customers.

13. Right of Withdrawal

As a consumer, you have a 14-day right of withdrawal from the date you subscribe to PRO, pursuant to the Danish Consumer Contracts Act.

Since Flaplist is a digital service delivered immediately upon purchase, you will at the point of purchase be asked to give your explicit consent to the service commencing immediately, and to acknowledge that your right of withdrawal thereby lapses once the service has started.

The right of withdrawal does not apply to business users.

14. Data Processing Agreement

When you use Flaplist as a business user and process personal data about your employees, collaborators, or customers through the service, Flaplist acts as data processor and you act as data controller under GDPR.

Flaplist processes your data in accordance with our Privacy Policy and solely for the purpose of delivering the service.

15. Force Majeure

Flaplist is not liable for any delay or failure to fulfil our obligations to the extent that this is caused by circumstances beyond our reasonable control, including but not limited to outages at third-party hosting providers, natural disasters, fire, flood, war, terrorism, labour disputes, regulatory action, or other extraordinary circumstances.
